College Circle LLC (“College Circle,” “we” or “us”), has developed these Terms of Use (“Terms”) to describe the terms that govern your access and use of College Circle’s website at www.mycollegecircle.com (the “Website”), including any applications ("apps"), widgets, and any other content and online services that contain links to these Terms. They do not alter in any way the terms or conditions of any other agreement you may have with College Circle or its subsidiaries or affiliates for other services.

College Circle reserves the right to change or modify any of the terms and conditions contained in the Terms or any policy or guideline of the Website, at any time and in its sole discretion. Any changes or modifications will be effective upon posting of the revisions and notice of such changes to the Website. Your continued use of the Website following the posting of its changes or modifications will constitute your acceptance of such changes or modifications. INCORPORATED POLICIES

Privacy Policy

College Circle believes strongly in protecting individual user privacy and providing you notice of College Circle’s practices regarding collection and use of data, including personally identifying information collected from the Website. College Circle has adopted a Privacy Policy that you are strongly encouraged to review in order to fully understand how College Circle collects and uses information.

SITE LICENSE AND ACCESS

College Circle grants you a non-transferable, non-exclusive, revocable, limited license to access the Website solely for your own personal, noncommercial use. Such license, by way of illustration and not limitation, does not include the following: (a) any resale, rental, leasing, transfer, assignment, copying, reproducing, distributing, republishing, downloading, displaying, posting, or transmitting of the Website or content therein, in any form or by any means; (b) the collection or use of any service listings or descriptions; (c) making derivative uses of, disassembling, reverse compiling, or reverse engineering the Website or its contents; or (d) use of any data mining, robots, or similar data gathering and extraction methods. Further, you may not use any meta tags or any other “hidden text” utilizing a Company name, trademark, service mark, or product name without College Circle’s express written consent.

Any unauthorized use of the Website will terminate the permission or license granted by these Terms and may violate applicable law including copyright laws, trademark laws (including trade dress), and communications regulations and statues. Violations will be prosecuted to the fullest extent of the law.

The Website is designed for use by individuals eighteen (18) years of age or older, and may not be used under any circumstances by individuals under thirteen (13) years of age.

SEPARATE TERMS FOR MEMBERSHIP

Members who join College Circle’s student concierge service must, as part of the membership intake process, agree to be bound by the terms and conditions in College Circle’s Membership Agreement (“Membership Terms”). These Membership Terms are separate from the Terms in this document, which apply only to use of the Website.

NO SUPPORT OR MAINTENANCE

You agree that College Circle will have no obligation to maintain or update the Website, or to provide you with any support in connection with the Website.

COPYRIGHT

All copyrighted and copyrightable materials on the Website, including without limitation designs, text, graphics, photos, audio files, video files, and the selection and arrangement thereof (collectively, “Materials”) are owned or licensed with all rights reserved by College Circle. Except as stated herein, none of the Materials may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of College Circle or the respective copyright owner (with the sole exception of the commercial images and videos provided on the Website Media Resources page, if any, the use of which is subject to the express terms and conditions set forth therein).

Permission is granted to display and download the Materials on these solely for personal, non-commercial, and informational use; provided that you may not, without the permission of College Circle or the respective copyright owner, (a) copy, publish, or post any Materials on any computer network, social media, or broadcast or publications media, (b) modify the Materials, or (c) remove or alter any copyright or other proprietary notices contained in the Materials.

TRADEMARKS AND SERVICE MARKS

College Circle’s trademarks, service marks, trade dress, and logos (hereafter referred to collectively as the “Company Marks”) are the cornerstone of College Circle’s business and are valuable and proprietary assets owned by College Circle. College Circle Marks are protected by United States trademark law and other applicable laws. College Circle Marks may not be copied, imitated, or used, in whole or in part, without the prior written permission of College Circle (with the sole exception of the commercial images and videos provided on the Website Media Resources page, if any, the use of which is subject to the express terms and conditions set forth therein).

You may hyperlink to the Website provided such link does not portray College Circle or any of its services in a false, misleading, derogatory or otherwise defamatory manner. These Terms will remain in full force and effect while you use the Website. We may suspend or terminate your rights to use the Website at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms.

Upon termination of your rights under these Terms, your right to access and use the Website will terminate immediately. College Circle will not have any liability whatsoever to you for any termination of your rights under these Terms.

College Circle’s social media pages/channels, including, but not limited to Facebook, Instagram, Twitter, TikTok, LinkedIn, and YouTube, provide additional information for you to learn more about College Circle and its services.

Neither College Circle nor any of its subsidiaries are responsible for third party content posted or appearing on the Website, including but not limited to content and links posted by users.

College Circle does not control or endorse, nor is it responsible for any third party content on social media platforms and makes no representations regarding the accuracy of content, information, opinions, claims or advice shared by third parties.

College Circle is committed to making our electronic communications accessible to everyone. College Circle’s work on accessible design is continuous and we welcome feedback on improving the accessibility features of our Website.

The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”.

If any provision of these Terms is held to be invalid or unenforceable, the other provisions will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Company’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.

College Circle may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
